Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between ACR Enterprises LLC, doing business as Smart Entertainments (“Company,” “we,” “us,” or “our”), and the person or entity (“Client,” “you,” or “your”) who subscribes to or uses our remote technical support and optimization services (the “Services”).

BY SUBSCRIBING TO OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.

1. Description of Services

Smart Entertainments provides specialized, subscription-based, fully remote setup, optimization, and technical troubleshooting services for digital home entertainment devices, including Smart TVs, streaming devices, gaming consoles, and integrated sound systems (collectively, “Devices”).

Our Services include:

  • Initial remote setup and configuration of Devices.
  • Optimization of audio and video settings.
  • Remote diagnosis and troubleshooting of software, app, performance, or connectivity issues.
  • Guidance and training on advanced device features.

EXCLUSIONS: The Services are strictly limited to remote, software-related issues. We do not provide any in-person assistance, hardware repair, replacement services, or support for physical damage to any Device.

2. Plans, Payment, and Renewals

2.1 Service Plans and Coverage

Services are offered under various subscription plans based on: a) Duration: 1, 3, 6, or 12 months. b) Device Coverage: 1, 2, or 3 nominated Devices. c) Support Level: Standard (2–6 hour response time) or Express (24/7 priority response).

2.2 Payment and Billing

You agree to pay all fees for the selected plan and any applicable taxes. Fees are due in advance for the duration selected.

  • Authorization: By providing payment information, you authorize Smart Entertainments, or its third-party payment processor, to charge the full amount for the initial term and any subsequent renewal terms.
  • Monthly and Quarterly Plans: Any plan billed monthly or quarterly (e.g., 1-month plan) will automatically renew unless canceled in accordance with Section 4.

2.3 Automatic Renewal

Unless otherwise specified in your plan details, fixed-term plans (6, 12 months) do not automatically renew. Monthly and quarterly plans will renew automatically on a rolling basis. You must provide written notice of non-renewal at least fifteen (15) business days before the end of the current billing period to prevent the next charge.

3. Remote Access and Client Responsibilities

3.1 Grant of Access

The Services require you to grant our technicians remote access to your Devices and, potentially, to your home network. You agree to take all necessary steps to enable this access, including providing passwords and temporarily disabling security measures (e.g., firewalls) as requested by our technicians.

3.2 Client Warranties

You represent and warrant that: a) You are the legal owner or authorized user of the Devices receiving the Services. b) You are at least eighteen (18) years of age and legally capable of entering into this agreement. c) You have a working, stable internet connection necessary for remote services.

3.3 Data Backup

You are solely responsible for maintaining and backing up all data, software, information, and files stored on your Devices. Smart Entertainments is not responsible for any lost or corrupted data that may occur during the delivery of the Services, regardless of the cause.

3.4 Termination of Access

You may terminate the remote session at any time. If you terminate the session before the issue is resolved, we will attempt to schedule a follow-up, but we reserve the right to close the support ticket if access cannot be regained promptly.

4. Termination of Agreement

4.1 Termination by Client

You may cancel your subscription at any time. If you terminate a pre-paid fixed-term plan (e.g., 6 months) before its expiration, you will not receive a refund for the remaining unused portion of the term.

4.2 Termination by Company

We reserve the right to terminate your subscription and deny Service access immediately, without prior notice or refund, if we determine, in our sole discretion, that you: a) Have failed to pay any fees when due. b) Have provided false or misleading information. c) Have misused the Services or acted abusively toward our personnel.

5. Disclaimers and Limitations of Liability

5.1 Limited Warranty and Disclaimer

Smart Entertainments will perform the Services using commercially reasonable efforts. However, we do not guarantee that every issue can or will be resolved. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

5.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMART ENTERTAINMENTS (ACR ENTERPRISES LLC) AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, OR GOODWILL, REGARDLESS OF THE LEGAL THEORY.IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY EXCEED THE TOTAL FEES PAID BY YOU FOR THE SERVICES DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
